Terms of Service

These are the terms that apply when you work with aivite, a brnd.ink studio. By engaging us for a project or using aivite.com, you accept these terms. We've written them in plain English wherever possible.

Who we are

aivite is a studio operated by brnd.ink with team members in Delhi, India and New York, USA. We build WhatsApp products on Meta's Cloud API for businesses across India and globally. When we refer to "we", "us", or "the studio" below, we mean aivite. When we refer to "you" or "the client", we mean the business or individual engaging us.

What we offer

Three service tiers, as listed on our pricing page:

  • Build (₹35,000 one-time): standard WhatsApp Business setup, templates, and core flows delivered in 7-10 working days.
  • Studio (₹1,200/month ongoing): ongoing maintenance, template updates, and minor changes on a monthly retainer.
  • Custom (₹1,00,000+): complex builds with custom logic, integrations, or multi-store setups. Scope and fee agreed in writing before kickoff.

Pricing is in Indian Rupees (INR) for clients in India. For clients outside India, we quote in USD at prevailing exchange rates. Meta's per-message charges are passed through at cost — we add no markup.

How engagement works

Engagements typically start with a free 30-minute discovery call. If we agree to work together, we share a written scope of work covering deliverables, timeline, and fees. Work begins when you confirm the scope and pay the initial deposit (typically 50% of the project fee). The remaining balance is due at project completion or as agreed in writing.

What you own, what we own

You own: all final deliverables we create for you — the WhatsApp Business Account, integration code, message templates, customer data, and any documentation we produce. The code we write for your project is yours to keep, modify, or take elsewhere.

We retain: generic patterns, libraries, and methods we develop in the course of our work that aren't specific to your business. We may reuse these on future client projects. This does not include anything proprietary to your business.

Showcase rights: unless you ask otherwise in writing, we may reference our work with you in our portfolio (case studies, work page, social posts) with a reasonable level of detail. We will never share confidential information without your explicit written consent.

Confidentiality

Both sides keep things confidential. Anything you share with us about your business, strategy, customers, or operations stays with us. Anything we share with you about our methods, pricing structure, or other clients stays with you. This applies during the engagement and after it ends.

Timelines and changes

We commit to the timeline in your scope of work, provided you supply the inputs we need (Meta Business Manager access, template content, integration credentials) on schedule. Delays in client inputs naturally shift the delivery date. If you request additional scope after kickoff, we quote it separately and the original timeline adjusts.

Limitation of liability

We do our best work, but we can't guarantee specific business outcomes (revenue, leads, message volume, conversion rates) because those depend on factors beyond our control. We are not liable for indirect or consequential losses. Our total liability for any single engagement is limited to the fees paid by you for that engagement in the preceding 12 months.

Specifically, we are not responsible for: (a) Meta suspending or banning your WhatsApp Business Account for policy violations, (b) changes Meta makes to its pricing, features, or policies, (c) third-party service downtime (Vercel, your CRM, courier APIs, etc.), or (d) outcomes that depend on your team's execution of the systems we build.

Termination

Either side can end the engagement with reasonable written notice (typically 14 days for ongoing work). Work delivered up to the termination date is payable. Pre-paid retainer fees for an active month are not refunded but services continue through the paid period. Refunds for incomplete one-time builds are handled per our refund policy.

Governing law

For clients in India: these terms are governed by Indian law. Disputes are subject to the exclusive jurisdiction of the courts in New Delhi.

For clients in the United States and elsewhere: these terms are governed by the laws of the State of New York, USA. Disputes are subject to the exclusive jurisdiction of the courts of New York County, New York.

Changes to these terms

We may update these terms as the studio evolves. Material changes will be flagged at the top of the page with a new "Last updated" date. For active engagements, the terms in effect when you signed the scope of work continue to apply unless we mutually agree to update.
